CIRQIL, Inc. — Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CIRQIL platform, including the CIRQIL website located at www.cirqil.com, all CIRQIL mobile applications, event spaces, web applications, web-based services, online platforms, APIs (where applicable), and any related products, features, communications, content, and services (collectively, the "Services"), operated by CIRQIL, Inc. ("CIRQIL," "we," "us," or "our").

By accessing or using any of the Services, you agree to be bound by these Terms.

1. Scope of the Services

These Terms apply to all Services provided by CIRQIL, including our website, mobile applications, web applications, hosted event spaces, networking features, messaging services, organizer tools, user accounts, and any other current or future products, features, or services made available by CIRQIL.

2. Eligibility and Accounts

You must be at least 13 years of age to create an account or use the Services. If you are under the age of majority in your jurisdiction, you represent that you are using the Services with the permission and supervision of a parent or legal guardian.

By creating an account, you agree to:

  • provide accurate, current, and complete information;
  • keep your account information up to date;
  • maintain the confidentiality of your login credentials;
  • accept responsibility for all activities that occur under your account.

You are responsible for notifying CIRQIL immediately if you believe your account has been compromised.

3. Acceptable Use

You agree not to:

  • use the Services for any unlawful purpose;
  • violate the rights of other users;
  • upload malicious software or code;
  • interfere with the operation or security of the Services;
  • attempt unauthorized access to any account or system;
  • impersonate another person or organization;
  • scrape, copy, or harvest data from the Services without authorization.

4. Content Standards, Reporting, and Moderation

You are solely responsible for the content you submit through the Services. CIRQIL maintains a no-tolerance policy for objectionable content and abusive behavior.

You agree not to submit, post, transmit, or share any content that:

  • is unlawful, obscene, defamatory, threatening, harassing, bullying, or discriminatory;
  • promotes violence, hatred, self-harm, or terrorism;
  • is sexually explicit, pornographic, or exploitative of minors;
  • infringes the intellectual property, privacy, or publicity rights of any person;
  • is fraudulent, deceptive, or intentionally misleading;
  • contains malware, viruses, or other malicious code;
  • constitutes spam, unsolicited commercial communication, or automated posting.

CIRQIL reserves the right, but has no obligation, to review, moderate, or remove content that violates these Terms and to suspend or terminate accounts of users who engage in prohibited conduct.

You may report objectionable content or abusive behavior through in-app reporting tools where available, or by emailing hello@cirqil.com. CIRQIL will review reports and take appropriate action as soon as reasonably practicable, which may include removing content, issuing warnings, or suspending or terminating accounts.

You may also block other users through in-app blocking tools where available. Blocked users will be prevented from contacting you or interacting with your content through the Services.

5. User Content

You retain ownership of content you submit to the Services, including profile information, photographs, messages, networking information, event participation, and other content.

You grant CIRQIL a worldwide, non-exclusive, royalty-free license to host, display, process, transmit, and use such content solely as necessary to operate, improve, and provide the Services.

You represent that you own or have the necessary rights to submit your content and that it does not violate the rights of any third party.

6. Event Organizer Content

Event organizers are solely responsible for the accuracy of event descriptions, schedules, venues, speakers, exhibitors, sponsors, ticketing information, and all other content they provide through the Services.

CIRQIL is not responsible for errors, omissions, cancellations, or changes made by event organizers.

7. Intellectual Property

The Services, including all software, patents, patent applications, trademarks, logos, branding, designs, text, graphics, and other content owned by CIRQIL or its licensors, are protected by United States and international intellectual property laws.

Except as expressly permitted, you may not copy, reproduce, distribute, modify, reverse engineer, or create derivative works from the Services without prior written permission from CIRQIL.

8. Mobile Applications and Platform License

Subject to these Terms, CIRQIL grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services, including our mobile applications and web-based platforms, solely for your personal or authorized business use.

This license does not transfer ownership of any intellectual property.

9. Privacy

Your use of the Services is also governed by the CIRQIL Privacy Policy, which explains how we collect, use, retain, protect, and disclose personal information across our website, mobile applications, web platforms, and related Services.

10. Suspension, Termination, and Account Deletion

We may suspend or terminate your access to the Services if you violate these Terms, misuse the Services, create security risks, or engage in fraudulent or unlawful activity.

You may stop using the Services or delete your account at any time.

Following account deletion, personal information will be deleted or anonymized as described in our Privacy Policy, except where retention is necessary to comply with legal obligations, resolve disputes, prevent fraud, enforce our agreements, or protect our legitimate business interests.

11. No Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

12. Limitation of Liability

To the fullest extent permitted by law, CIRQIL shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your access to or use of the Services.

13. Third-Party Services

The Services may link to, integrate with, or rely upon third-party websites, applications, ticketing platforms, mapping services, authentication providers, analytics providers, or other services.

CIRQIL is not responsible for the availability, content, privacy practices, or actions of any third-party service.

14. Apple App Store Additional Terms

If you access the CIRQIL Services through an application obtained from the Apple App Store, the following additional terms apply and, to the extent of any conflict with the remainder of these Terms, control:

  • These Terms are entered into between you and CIRQIL only, and not with Apple, Inc. ("Apple"). CIRQIL, not Apple, is solely responsible for the CIRQIL mobile application and its content.
  • The license granted to you for the CIRQIL mobile application is limited to a non-transferable license to use the application on any Apple-branded device you own or control, subject to the Usage Rules set forth in the Apple Media Services Terms and Conditions.
  • Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the CIRQIL mobile application.
  • In the event of any failure of the CIRQIL mobile application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the CIRQIL mobile application.
  • CIRQIL, not Apple, is responsible for addressing any claims by you or any third party relating to the CIRQIL mobile application or your possession and use of it, including product liability claims, claims that the application fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
  • In the event of any third-party claim that the CIRQIL mobile application or your possession and use of it infringes that third party's intellectual property rights, CIRQIL, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
  • You represent and warrant that (i) you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
  • Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

15. Changes to the Services or Terms

We may modify these Terms or any aspect of the Services from time to time.

When material changes are made, we will update the "Last Updated" date above.

Continued use of the Services after such changes become effective constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles.
